An LLP that is formed, incorporated or registered outside India but has a place of business in India is referred as Foreign limited liability partnership. Any information of foreign limited liability can be revised by filing relevant forms.
A Foreign Limited Liability Partnership that desire to make amendments initsinformation like name, registered address, documents etc shall file the below mentioned forms with the ministry of corporate affairs.
Form 28 is required to be filed when there is -
- Alteration in the incorporation document, or other instrument constituting or defining the constitution of a limited liability partnership incorporated or registered outside India
- Alteration relating to the registered or principal office of a limited liability partnership incorporated or registered outside India
- Alteration in the partner or designated partner if any of a limited liability partnership incorporated or registered outside India
However, Form 29 is required to give effect to the –
- Alteration in the certificate of incorporation or registration of limited liability partnership incorporated or registered outside India
- Alteration in the name or address of any of the persons authorized to accept service on behalf of a foreign limited liability partnership in India
- Alteration in the principal place of business of foreign limited liability partnership in India
- Cessation to have the place of business in India.
