Documents Required for Private Limited Company Registration

Every private limited company is required to submit certain documents with the registrar of companies in order to obtain registration.

The Private limited company is a privately held business which is carried out by one or more than one person who agrees to come together and carry out a business. It can be formed with minimum 2 members and maximum 200 members. In order to obtain registration,every private limited company is required to submit the documents prescribed by the ministry of corporate affairs. Utmost care must be while filing the documents as in case the ROC finds any discrepancy in the documents then it may reject the documents filed. With the rejection of the documents the process of the company registration may be delayed for days or even months.

Documents required for private limited company registration

Following are the documents required for the registration of private limited company-

Documents to be submitted by Directors and shareholder (Indian Nationals)
1. Scanned copy of Permanent Account Number Card

2. Scanned copy of Voter’s ID/Passport/Driver’s License

3. Scanned copy of address proof like Latest Bank Statement/Telephone or Mobile Bill/Electricity or Gas Bill

4. Scanned passport-sized photograph

5. Specimen signature (blank document with signature [directors only])

The first three documents must be self-attested by any one of the directors.

Documents to be submitted by Directors &Shareholders(NRI)

1. Scanned copy of PAN Card

2. Scanned copy of Voter’s ID/Passport/Driver’s License

3. Scanned copy of Latest Bank Statement/Telephone or Mobile Bill/Electricity or Gas Bill

4. Scanned passport-sized photograph

5. Specimen signature (blank document with signature [directors only])

All the documents must be notarised (if NRI is currently in India or a non-Commonwealth country) or apostilled (if in a Commonwealth country).

Documents to be submitted by Directors & Shareholders (Foreign Nationals)
1. Scanned copy of Passport

2. Scanned copy of Voter’s ID/Passport/Driver’s License

3. Scanned copy of Latest Bank Statement/Telephone or Mobile Bill/Electricity or Gas Bill

4. Scanned passport-sized photograph

5. Specimen signature (blank document with signature [directors only])

Note: All the documents must be notarised (if NRI is currently in India or a non-Commonwealth country) or apostilled (if in a Commonwealth country).

Registered office Address Proof’s

1. Scanned copy of Latest Electricity or Water Bill

2. Scanned copy of Notarised Rental Agreement in English

3. Scanned copy of Latest Rental Receipt

4. Scanned copy of Sale Deed/Property Deed in English (in case of owned property)

5. Scanned copy of No-objection Certificate from property owner

One thing to be noted is that all the documents must be notarised (if NRI is currently in India or a Commonwealth country). All the documents must be notarised and apostille or attested by an Indian embassy (if in a non-Commonwealth country).

Documents to be submitted in case shareholder is an Artificial Person

In case one of the shareholder or subscriber to the MOA and AOA is a Corporate Entity (Company, LLP, etc.,), then Certificate of Incorporation of the Body Corporate must be attached along with the resolution passed by the Body Corporate to subscribe to the shares of the company under incorporation.

In addition to the above proofs and documents, a number of documents like INC-9, MOA, AOA would be drafted by a Professional. These legal documents made specifically for the incorporation must be signed and notarized by the promoters of the Company.
